11; NAME

<p class=3DMsoNormal style=3D'text-align:justify'><u>SECTION 1.</u><span
style=3D'mso-spacerun:yes'>&nbsp; </span>The name of this organization shal=
l be
IDABEL COUNTRY CLUB, which is incorporated under the laws of the State of <=
st1:place
w:st=3D"on"><st1:State w:st=3D"on">Oklahoma</st1:State></st1:place>.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><o:p>&nbsp;</o:p></p>

<p class=3DMsoNormal style=3D'text-align:justify'><u>SECTION 2.</u><span
style=3D'mso-spacerun:yes'>&nbsp;&nbsp; </span>The object of this Club shal=
l be
to promote wholesome and healthful outdoor sports and to provide other suit=
able
and proper means for the recreation, comfort and enjoyment of its members.<=
/p>

<p class=3DMsoNormal style=3D'text-align:justify'><o:p>&nbsp;</o:p></p>

<h1>ARTICLE II &#8211; MEMBERSHIPS</h1>

<p class=3DMsoNormal style=3D'text-align:justify'><o:p>&nbsp;</o:p></p>

<h2>SECTION 1.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>RESIDENT MEMBERSHIP</h2>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=
unt:1'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <=
/span>Resident
members shall be at least 18 years of age.<span style=3D'mso-spacerun:yes'>=
&nbsp;
</span>A resident membership entitles all persons within the immediate fami=
ly
(husband, wife, children) and who reside in the same home to full use of Cl=
ub
facilities.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Children&#8217;s
privileges ease upon their reaching 18 years of age, provided that if a chi=
ld
is in high school, the privileges continue through August of the school year
when the child becomes 18.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=
unt:1'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <=
/span>A
special exemption may be granted to any unmarried child who has reached 18 =
and
is currently a full time student of an accredited college.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>Applications must be made annually=
 to
the Board, and such other requirements may be imposed by the Board to carry=
 out
the intent of this exemption as are found to be necessary.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>The Board shall have sole authorit=
y to
grant or reject the application.<span style=3D'mso-spacerun:yes'>&nbsp; </s=
pan>In
no event shall the exemption be granted to any student after reaching age 2=
5.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=
unt:1'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <=
/span>Any
child of a member in good standing of the Idabel Country Club may, (a) with=
in
one (1) year after reaching age 21 or (b) within one (1) year after complet=
ion
of college, apply for resident membership with the admission fee being a sum
not less than one-half (1/2) of the then current resident member admission
fee.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Upon approval, such pers=
on
shall then become a regular resident member.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>In no event can such application f=
or
reduced admission fee be made after said child reaches the age of 25.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=
unt:1'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <=
/span>In
all events, the resident member shall be responsible for the payment of any
indebtedness to the Club incurred by members of the household.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=
unt:1'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <=
/span>Resident
memberships shall be divided into three classes as follows: (A) Resident fu=
ll
members, who have full use of all club facilities and the golf course. (B)
Under thirty who have full use of all club facilities and the golf course.
Under thirty membership would require at least one member of the family to =
be
not less than (19) years of age and the oldest member of the family not more
than (30) years of age. At the oldest in the family&#8217;s thirtieth birth=
day,
the membership dues will increase to full resident membership rates. (C)
Resident social membership, who shall have use of all club facilities except
golf course privileges. (Amended 4/2006)</p>

<p class=3DMsoNormal style=3D'text-align:justify'><o:p>&nbsp;</o:p></p>

<h2>SECTION 2.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>NON-RESIDENT MEMBERSHIPS</h2>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>Non-resident
members shall reside more than seventy (70) miles from Idabel for at least =
nine

members may be a (1) clergyman who is an active or retired pastor, priest or
rector, such clergyman shall pay no entrance fees, but shall pay the current
monthly dues for said membership.<span style=3D'mso-spacerun:yes'>&nbsp; </=
span>The
payment of such dues shall begin on <st1:date Month=3D"1" Day=3D"1" Year=3D=
"1988"
w:st=3D"on">January 1, 1988</st1:date>, and shall apply to all current and =
future
clergy members; or (2) a resident member of longstanding who has been most
influential in advancing the growth of the Club.</p>

<h2>SECTION 4.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>JUNIOR MEMBERSHIPS</h2>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>A
junior member shall be an exceptional golf-minded individual between the ag=
es
of 10 and 18 years.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Such
memberships allow the junior restricted privileges on the golf course, at t=
he
swimming pool and tennis courts.<span style=3D'mso-spacerun:yes'>&nbsp;
</span>This membership may, upon application being approved by the Board,
continue for junior members who are full-time students at an accredited col=
lege
and who are unmarried.<span style=3D'mso-spacerun:yes'>&nbsp; </span>In no =
event
shall the Board permit a junior membership to continue beyond such member
reaching the age of 25.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><o:p>&nbsp;</o:p></p>

<h2>SECTION 5.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>MEMBERSHIP MILITARY SERVICE CLAUSE</h2>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>Any
resident member or lady member called into the military service of our coun=
try
may be granted, by the Board of Directors, a leave of absence from the
Club.<span style=3D'mso-spacerun:yes'>&nbsp; </span>During his or her leave=
 of
absence, such a member shall not be obligated to pay the annual dues.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>Any assessment, approved by the Cl=
ub
during the leave of absence, must be paid by such member upon his or her re=
turn
to civilian life and active membership.</p>

full resident members of the Club shall be entitles to all privileges of the

provisional members shall be entitled to limited privileges of the Club, wh=
ich
is defined as all privileges of the Club except such members shall not have=
 the
right to vote in election nor have any voice in the control of management of
the Club.</p>

<h2>SECTION 7.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>METHOD OF ELECTION TO MEMBERSHIP</h2>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=
unt:1'>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <=

candidate for membership must be proposed for membership by a member of the
Club, who shall submit a completed application form to the President.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>The President shall, in turn, refe=
r the
name of the proposed member to the membership committee.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>This committee shall report their
findings through the President at a regular or special meeting of the

requires a majority vote of the Board, a quorum present.</p>

</span>MEMBERSHIP TRANSFERS</h2>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>Membership
transfers are acceptable from husband to wife or vice-versa and corporate
memberships are transferable with no charge.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>The transferee must be approved for
membership by the Board before such transfer may be processed.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>In the event of a divorce between a
husband-and-wife membership, the husband and wife may continue as separate
memberships without further admission fees.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>However, each separate membership =
must
pay all annual fees and dues as prescribed for all members of the Club. (

</span>RESIGNATIONS AND INACTIVE MEMBERSHIPS</h2>

bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>(A)
Resignation of active membership shall be made in writing to the
Secretary.<span style=3D'mso-spacerun:yes'>&nbsp; </span>No resignation sha=
ll be
accepted or effective until all indebtedness to the Club by said member, or
indebtedness for which the member may be responsible, shall have been paid =
in
full.</p>

<p class=3DMsoNormal style=3D'text-align:justify'><o:p>&nbsp;</o:p></p>

<p class=3DMsoNormal style=3D'text-align:justify'><span style=3D'mso-tab-co=

No part of the dues of any member shall be remitted until notice in writing=

given by such member to the Secretary stating his desire to be placed on
inactive status at which time all indebtedness must be paid as stated in

assessments will continue to accrue until the above conditions for becoming
inactive are competed.</p>

<h2>SECTION 12.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>REINSTATEMENT OF MEMBERSHIP</h2>

<p class=3DMsoNormal style=3D'text-align:justify;text-indent:.5in'>A person=
 who has
previously been a member in good standing of the Idabel Country Club and has
dropped his/her membership may re-apply for membership and if the applicati=
on
is approved, such person shall pay an entry fee of 25% of the then current
membership entry fee.<span style=3D'mso-spacerun:yes'>&nbsp; </span>A former
member may be re-admitted under the conditions outlined in the preceding
sentence on only one (1) occasion.</p>

<p class=3DMsoNormal style=3D'text-align:justify;text-indent:.5in'><o:p>&nb=
sp;</o:p></p>

<h2>SECTION 13.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>MEMBERSHIP CARD</h2>

members shall receive an official membership card from the Secretary.<span

r the
member&#8217;s immediate family.<span style=3D'mso-spacerun:yes'>&nbsp; </s=

members shall be allowed any of the Club privileges until such card has been
received by the member.</p>

<h2>SECTION 15.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp;
</span>FORTY TO SEVENTY MILE NON-RESIDENT MEMBERSHIP</h2>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>Forty
to seventy mile non-resident members shall reside more than (40) miles and =
less
than (70) miles from Idabel Country Club for at least (9) months of each ye=
ar
and shall be at least (18) years of age. (Amended 4/2006)</p>

<p class=3DMsoBodyText><o:p>&nbsp;</o:p></p>

<h2>SECTION 16.<span style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp; </=
span>CORPORATE
MEMBERSHIP</h2>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>A
corporate membership would be required a company to be a legal corporation =
and
to present proof at time of application. The corporation would be granted t=
hree
resident memberships to give to any employee or retiree of that particular
corporation subject to ICC Board approval. The corporate membership would be
subject to a one time initiation fee (equal to three resident membership
initiation fees). They would be required to pay for at all times the current
monthly dues of three resident members. If the corporation needs more than
three memberships they must apply to the Board of Directors for additional =
memberships.
It would be at the Boards discretion to decide if any additional fees other
than the monthly dues would be charged, if additional memberships are grant=
ed.
If more than three memberships are granted anything over three could be dro=
pped
at any time.</p>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>ICC
would not charge a transfer fee to the corporation to change membership from
one person to another but they must go through the application process, and=
 be
approved by the Board.</p>

<p class=3DMsoBodyText><span style=3D'mso-tab-count:1'>&nbsp;&nbsp;&nbsp;&n=
bsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </span>Corporate
memberships shall be divided into two classes as follows:</p>

<p class=3DMsoBodyText>Level I would be the same as a full resident members=
hip
with one exception there would be no voting privileges. Level II would be t=
he
same as a resident social membership with one exception there would be no
voting privileges. </p>

admission fee shall be paid by all new resident, corporate and under thirty
applicants prior to being membership approval.<span

approved by the members of the Club.<span style=3D'mso-spacerun:yes'>&nbsp;
</span>Such fee can be changed only by the majority vote of the members, a
quorum present, at the annual or a called meeting of the Club.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>At least fifty percent (50%) of th=
e fee
must accompany the application for membership and shall be credited for Club
capital improvements, with the balance to be paid within one year in four (=

</span>Resident, corporate and under thirty membership dues are payable in
advance at least monthly, but the same may be paid quarterly or annually, b=

nt,
junior and collegiate membership annual dues must be paid in full at the ti=
me
of application for membership and shall run from January 1<sup><span

present, at the annual or a called meeting of the Club.<span

r new
facilities, Club improvements and for emergencies.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>Resident members and non-resident
members shall be assessed certain fixed amounts as approved by the membersh=
ip.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>Other classes of memberships shall=

be assessed.</p>

<h1>ARTICLE IV &#8211; PRIVILEGES</h1>

of the Club, in good standing, may invite guests who are not members of the
Clubhouse and grounds.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Such g=
uests
may use the privileges of the ballroom, lounge, dining room, and Snack Shop
when accompanied by the inviting member.<span style=3D'mso-spacerun:yes'>&n=
bsp;
</span>A member shall assume full responsibility for the conduct and activi=
ty
of his invited guests.<span style=3D'mso-spacerun:yes'>&nbsp;
</span>EXCETIONS:<span style=3D'mso-spacerun:yes'>&nbsp; </span>(1) At all
scheduled Club events a designated committee shall determine and so notify
whether such an event be &#8220;members only&#8221; or &#8220;guests
invited&#8221;.<span style=3D'mso-spacerun:yes'>&nbsp; </span>(2) Should any
member flagrantly abuse the guest privilege by continually inviting the same
guests to use the Club over and over, he will be notified of such an abuse =
by
the Grievance Committee.<span style=3D'mso-spacerun:yes'>&nbsp; </span>These
exceptions shall not apply to legally unattached male and female members as
they are expected to bring a guest to the Club at all times.</p>

<p class=3DMsoBodyText><o:p>&nbsp;</o:p></p>

<p class=3DMsoBodyText><u>SECTION 2.<span
style=3D'mso-spacerun:yes'>&nbsp;&nbsp;&nbsp;&nbsp; </span>SEMI-PRIVATE PAR=

member in good standing may procure the use of the ballroom or the card roo=

a semi-private basis for their personal parties, employees&#8217; parties, =

</span>Such parties will necessarily include persons who are not members.<s=

City, County, State or National Function.<span style=3D'mso-spacerun:yes'>&=

</span>A function of this nature which will serve the highest interests of =
our
area and promote status improvement for the area may be sponsored by the Cl=
ub.<span
style=3D'mso-spacerun:yes'>&nbsp; </span>The Board, at an official meeting,=
 shall
determine and fix fees, terms and limits of facilities for any such event.<=
/p>

member be not paid by the end of the month in which the statement is sent, =

the Secretary or the Club Manager shall notify said member of the past-due

immediately posted by the Secretary or Club Manager upon the bulletin board=
 of
the Club and a ten percent (10%) penalty shall be assessed against the past=
-due
indebtedness.<span style=3D'mso-spacerun:yes'>&nbsp; </span>A member whose =
name
is posted and who fails to remove his delinquency by full payment of all
past-due indebtedness as well as current indebtedness within fifteen (15) d=
ays
following the posting shall automatically be suspended; provided however, t=
hat
such automatic suspension may be stayed by action of the Board upon a proper
showing by the delinquent member that the delay in payment has been due to
unusual circumstances.<span style=3D'mso-spacerun:yes'>&nbsp; </span>Notice=
 of
suspension may be given but shall not be deemed necessary on the part of the
Club.<span style=3D'mso-spacerun:yes'>&nbsp; </span>A member thus suspended=
 may
be reinstated within thirty (30) days after such suspension upon the paymen=

all arrears, penalties and the then current charges and dues.</p>

indebtedness owed direct to the Idabel Country Club.</p>

and affairs of the Club, and full charge of the grounds, houses, implements=

part of the Club in excess of money in the hands of the Treasurer, and the

Board of Directors shall have the power to fill any vacancy occurring on sa=

Board for any cause other than the expiration of their term.<span

vacancies shall serve only until the next annual meeting.</p>

keep safely all the funds of the Club and pay them out as provided by the
