ARTICLE I R=
11; NAME
AND OBJECT
SECTION 1. The name of this organization shal=
l be
IDABEL COUNTRY CLUB, which is incorporated under the laws of the State of <=

w:st=3D"on">
SECTION 2. The object of this Club shal= l be to promote wholesome and healthful outdoor sports and to provide other suit= able and proper means for the recreation, comfort and enjoyment of its members.<= /p>
<= /span>Resident members shall be at least 18 years of age.= A resident membership entitles all persons within the immediate fami= ly (husband, wife, children) and who reside in the same home to full use of Cl= ub facilities. Children’s privileges ease upon their reaching 18 years of age, provided that if a chi= ld is in high school, the privileges continue through August of the school year when the child becomes 18.
<= /span>A special exemption may be granted to any unmarried child who has reached 18 = and is currently a full time student of an accredited college. Applications must be made annually= to the Board, and such other requirements may be imposed by the Board to carry= out the intent of this exemption as are found to be necessary. The Board shall have sole authorit= y to grant or reject the application. In no event shall the exemption be granted to any student after reaching age 2= 5.
<= /span>Any child of a member in good standing of the Idabel Country Club may, (a) with= in one (1) year after reaching age 21 or (b) within one (1) year after complet= ion of college, apply for resident membership with the admission fee being a sum not less than one-half (1/2) of the then current resident member admission fee. Upon approval, such pers= on shall then become a regular resident member. In no event can such application f= or reduced admission fee be made after said child reaches the age of 25.
<= /span>In all events, the resident member shall be responsible for the payment of any indebtedness to the Club incurred by members of the household.
<= /span>Resident memberships shall be divided into three classes as follows: (A) Resident fu= ll members, who have full use of all club facilities and the golf course. (B) Under thirty who have full use of all club facilities and the golf course. Under thirty membership would require at least one member of the family to = be not less than (19) years of age and the oldest member of the family not more than (30) years of age. At the oldest in the family’s thirtieth birth= day, the membership dues will increase to full resident membership rates. (C) Resident social membership, who shall have use of all club facilities except golf course privileges. (Amended 4/2006)

bsp; Non-resident
members shall reside more than seventy (70) miles from Idabel for at least =
nine
(9) months of the year and shall be at least eighteen (18) years of age.
<=
/span>Special
members may be a (1) clergyman who is an active or retired pastor, priest or
rector, such clergyman shall pay no entrance fees, but shall pay the current
monthly dues for said membership. The
payment of such dues shall begin on
&n= bsp; A junior member shall be an exceptional golf-minded individual between the ag= es of 10 and 18 years. Such memberships allow the junior restricted privileges on the golf course, at t= he swimming pool and tennis courts. This membership may, upon application being approved by the Board, continue for junior members who are full-time students at an accredited col= lege and who are unmarried. In no = event shall the Board permit a junior membership to continue beyond such member reaching the age of 25.
&n= bsp; Any resident member or lady member called into the military service of our coun= try may be granted, by the Board of Directors, a leave of absence from the Club. During his or her leave= of absence, such a member shall not be obligated to pay the annual dues. Any assessment, approved by the Cl= ub during the leave of absence, must be paid by such member upon his or her re= turn to civilian life and active membership.
(A)= Only full resident members of the Club shall be entitles to all privileges of the Club. Non-resident members and provisional members shall be entitled to limited privileges of the Club, wh= ich is defined as all privileges of the Club except such members shall not have= the right to vote in election nor have any voice in the control of management of the Club.
<= /span>Junior members shall be entitled to restricted privileges on the golf course, at t= he swimming pool, on the tennis courts and in the Snack Shop.
<= /span>(B) All classes of membership shall be permitted to such membership only upon admission to the Club in accordance with the By-Laws.
<= /span>A candidate for membership must be proposed for membership by a member of the Club, who shall submit a completed application form to the President. The President shall, in turn, refe= r the name of the proposed member to the membership committee. This committee shall report their findings through the President at a regular or special meeting of the Board. Election to membership requires a majority vote of the Board, a quorum present.
&n= bsp; Resident full memberships in the club shall be limited to three hundred (300) members. Non-resident members= hips shall be limited to seventy-five (75). (Amended 7/97.)
&n= bsp; Only resident members shall have voting rights and a voice in the control or management of the Club.
&n= bsp; Membership transfers are acceptable from husband to wife or vice-versa and corporate memberships are transferable with no charge. The transferee must be approved for membership by the Board before such transfer may be processed. In the event of a divorce between a husband-and-wife membership, the husband and wife may continue as separate memberships without further admission fees. However, each separate membership = must pay all annual fees and dues as prescribed for all members of the Club. ( Amended 4/2006)
&n= bsp; (A) Resignation of active membership shall be made in writing to the Secretary. No resignation sha= ll be accepted or effective until all indebtedness to the Club by said member, or indebtedness for which the member may be responsible, shall have been paid = in full.
<= /span>(B) No part of the dues of any member shall be remitted until notice in writing= is given by such member to the Secretary stating his desire to be placed on inactive status at which time all indebtedness must be paid as stated in Paragraph (A) above. Dues and assessments will continue to accrue until the above conditions for becoming inactive are competed.
A person= who has previously been a member in good standing of the Idabel Country Club and has dropped his/her membership may re-apply for membership and if the applicati= on is approved, such person shall pay an entry fee of 25% of the then current membership entry fee. A former member may be re-admitted under the conditions outlined in the preceding sentence on only one (1) occasion.
&n= bsp; All members shall receive an official membership card from the Secretary. Duplicate cards may be procured fo= r the member’s immediate family. No members shall be allowed any of the Club privileges until such card has been received by the member.
&n= bsp; Forty to seventy mile non-resident members shall reside more than (40) miles and = less than (70) miles from Idabel Country Club for at least (9) months of each ye= ar and shall be at least (18) years of age. (Amended 4/2006)
&n= bsp; A corporate membership would be required a company to be a legal corporation = and to present proof at time of application. The corporation would be granted t= hree resident memberships to give to any employee or retiree of that particular corporation subject to ICC Board approval. The corporate membership would be subject to a one time initiation fee (equal to three resident membership initiation fees). They would be required to pay for at all times the current monthly dues of three resident members. If the corporation needs more than three memberships they must apply to the Board of Directors for additional = memberships. It would be at the Boards discretion to decide if any additional fees other than the monthly dues would be charged, if additional memberships are grant= ed. If more than three memberships are granted anything over three could be dro= pped at any time.
&n= bsp; ICC would not charge a transfer fee to the corporation to change membership from one person to another but they must go through the application process, and= be approved by the Board.
&n= bsp; Corporate memberships shall be divided into two classes as follows:
Level I would be the same as a full resident members= hip with one exception there would be no voting privileges. Level II would be t= he same as a resident social membership with one exception there would be no voting privileges.
&n= bsp; An admission fee shall be paid by all new resident, corporate and under thirty applicants prior to being membership approval. Each fee shall be a fixed amount as approved by the members of the Club. Such fee can be changed only by the majority vote of the members, a quorum present, at the annual or a called meeting of the Club. At least fifty percent (50%) of th= e fee must accompany the application for membership and shall be credited for Club capital improvements, with the balance to be paid within one year in four (= 4) equal payments. There is pres= ently no admission fee for the other classes of membership. (Amended 4/2006)
&n= bsp; The annual dues for all memberships shall be fixed amounts as approved by the members of the Club. These du= es can be changed only by the majority vote of the members, a quorum present, at t= he annual or a called meeting of the Club.&nb= sp; Resident, corporate and under thirty membership dues are payable in advance at least monthly, but the same may be paid quarterly or annually, b= ut always in advance. Non-reside= nt, junior and collegiate membership annual dues must be paid in full at the ti= me of application for membership and shall run from January 1st to December 31st of that same year. Forty to seventy mile dues must be paid in full = at time of application with one exception, if two forms of guaranteed payment = is given in the form of bank draft information and credit card. First payment = of half to be due on application (only if draft information and credit card information are attached) and the other half to be drafted or charged to cr= edit card on first of the following month, otherwise the full amount is due with application, For renewing forty to seventy mile membership the drafts will = be made on January 1st and April 1st. Memberships run from January 1 to Decemb= er 31. (Amended 4/2006)
&n= bsp; This amount shall be set by the members each year at the annual meeting and shal= l be payable in advance as prescribed in Article III, Section 2.
<= /span>An assessment may sometimes be a necessity for the Club’s vital growth a= nd existence. Such assessments s= hall be voted from time to time only by the majority vote of the members, a quor= um present, at the annual or a called meeting of the Club. These assessments shall be used fo= r new facilities, Club improvements and for emergencies. Resident members and non-resident members shall be assessed certain fixed amounts as approved by the membersh= ip. Other classes of memberships shall= not be assessed.
&n= bsp; Members of the Club, in good standing, may invite guests who are not members of the Clubhouse and grounds. Such g= uests may use the privileges of the ballroom, lounge, dining room, and Snack Shop when accompanied by the inviting member.&n= bsp; A member shall assume full responsibility for the conduct and activi= ty of his invited guests. EXCETIONS: (1) At all scheduled Club events a designated committee shall determine and so notify whether such an event be “members only” or “guests invited”. (2) Should any member flagrantly abuse the guest privilege by continually inviting the same guests to use the Club over and over, he will be notified of such an abuse = by the Grievance Committee. These exceptions shall not apply to legally unattached male and female members as they are expected to bring a guest to the Club at all times.
SECTION 2. SEMI-PRIVATE PAR=
TIES
&n=
bsp; Any
member in good standing may procure the use of the ballroom or the card roo=
m on
a semi-private basis for their personal parties, employees’ parties, =
or
their children’s parties.
Such parties will necessarily include persons who are not members.
SECTION 3. SPECIAL USES OF =
CLUB
FACILITIES
&n= bsp; (A) City, County, State or National Function.&= nbsp; A function of this nature which will serve the highest interests of = our area and promote status improvement for the area may be sponsored by the Cl= ub. The Board, at an official meeting,= shall determine and fix fees, terms and limits of facilities for any such event.<= /p>
&n= bsp; (B) Golf, Tennis and Sporting Events. An event of this nature which will serve the highest interests of the area may be sponsored by the Club. The Board will fix fees, terms and limits of facilities for all such events.
&n= bsp; (C) General Public Usage. The golf course and lake area are the only facilities which may be used by the gener= al public on a fee basis. Rules = and fees for such use shall be set by the Board.
&n= bsp; (D) Limitations. No other usage o= f Club facilities by non-members will be permitted.
SECTION 4. CLUB LOUNGE
&n=
bsp; Operating
hours for the Club Lounge shall be posted in the Lounge and must be strictly
adhered to. The Club Lounge i=
s for
the use of adult members, in good standing, and their adult guests. Alcoholic beverages are not permit=
ted in
the Clubhouse except those drinks which are prepared and dispensed by the
official bartender. The Club
Manager and/or bartender must comply with the laws of the State of
SECTION 5. PRIVATE ROOM
&n= bsp; The private room is for the use of adult members in good standing and their guests. Operating hours for t= he Card Room shall correspond with those of the Club Lounge.
SECTION 6. SWIMMING POOL
&n= bsp; Members and out-of-county guests only are permitted to use the swimming facilities. Due to the limite= d size of this facility, strict rules and regulations regarding the use of such sh= all be effected by the Board of Directors and must be strictly adhered to by all members. These rules shall be= prominently and permanently posted at or near the pool.
SECTION 7. TENNIS COURTS
&n=
bsp; Members
and out-of-county guests only are permitted to use the tennis facilities.
SECTION 8. GOLF COURSE
&n= bsp; The golf course shall be operated as a municipal facility. Resident social members and non-me= mbers of this Club must pay a green fee to play the course. The fee shall be a fixed amount as approved by the Board of Directors. Green fees must be paid in advance of playing the course. Members shall be held responsible = for the payment of green fees for their invited guests. Strict rules and regulations regar= ding the use of the golf course shall be effected by the Board and must necessar= ily be strictly adhered to by all members.&nbs= p; These rules shall be prominently and permanently posted at or near t= he course. SECTION 9: RECIPROCAL COURT=
ESIES
&n= bsp; The privilege of the Club may be reciprocated to any member in good standing of= any other like Club.
ARTICLE V – INDEBTEDNESS OF
MEMBERS
SECTION 1. STATEMENT OF
INDEBTEDNESS
&n= bsp; On or before the tenth (10th) day of each month, there shall be sen= t to each member a statement of all charges (except dues, which are payable in advance) and amounts due or any other indebtedness owed by the member of the Club. If total amount owed by= such member be not paid by the end of the month in which the statement is sent, = then the Secretary or the Club Manager shall notify said member of the past-due indebtedness, and if not paid in full within fifteen (15) days after notification, the name of such member, together with the amount owed, shall= be immediately posted by the Secretary or Club Manager upon the bulletin board= of the Club and a ten percent (10%) penalty shall be assessed against the past= -due indebtedness. A member whose = name is posted and who fails to remove his delinquency by full payment of all past-due indebtedness as well as current indebtedness within fifteen (15) d= ays following the posting shall automatically be suspended; provided however, t= hat such automatic suspension may be stayed by action of the Board upon a proper showing by the delinquent member that the delay in payment has been due to unusual circumstances. Notice= of suspension may be given but shall not be deemed necessary on the part of the Club. A member thus suspended= may be reinstated within thirty (30) days after such suspension upon the paymen= t of all arrears, penalties and the then current charges and dues.
SECTION 2. OTHER CLUB
INDEBTEDNESS
&n= bsp; Should any member of the Idabel Country Club, or his dependents, register at any o= ther club, wherever located, and as a member of the Idabel Country Club incur financial obligations for which the bill is sent to the Idabel Country Club= for the account of said member, then any such indebtedness shall be considered = as indebtedness owed direct to the Idabel Country Club.
ARTICLE VI – MEETINGS AND
ELECTIONS
SECTION 1. ANNUAL MEETING
&n= bsp; There shall be an annual meeting of the Club during the month of January each year for the purpose of electing Directors for the ensuing year, and for the pur= pose of transacting all such other business that may need to be presented to the membership. The exact date sh= all be set by the Board; notice of the time, date and place of such meeting to be given at least one (1) week previous to such meeting by notice mailed to ea= ch member at his last address as filed with the Secretary. SECTION 2. SPECIAL MEETINGS=
&n= bsp; Special meetings of the Club may be called at any time by the President or by three= (3) members of the Board, or by ten (10) resident members on notification to the Secretary, who must then notify all resident members at least one (1) week prior to the date set for such a meeting.&= nbsp; The purpose of such a meeting must be stated in the notification.
SECTION 3. VOTING PRIVILEGE=
&n= bsp; Each resident membership, in good standing, shall be entitled to one vote at the annual meeting and at all special meetings.
SECTION 4. QUORUM
&n= bsp; The number of resident members necessary to constitute a quorum at any official meeting of the members of the Club shall be not less than twenty-five (25),= who must be present in person.
SECTION 5. DIRECTORS’
MEETINGS
&n= bsp; Regular meetings of the Board of Directors shall be held on the second Thursday of = each month at such time and place as shall be designated by the President. Due notice shall be given to the Directors by the Secretary prior to the date of the meeting. Special meetings of the Board of Directors may be held at the call of the President or at the request of at least three (3) Directors submitted in writing to the Secretary.
SECTION 6. QUORUM FOR
DIRECTORS’ MEETINGS
&n= bsp; The number of Directors necessary to constitute a quorum at any Directors’ meeting shall be not less than five (5) Directors, who must be present in person.
SECTION 7. ELECTIONS
&n= bsp; At the annual meeting of the Club each year, the resident members who are pres= ent and in good standing shall elect by plurality the designated number of nominated members to serve as Directors of the Club for the designated numb= er of years. The Board of Direct= ors shall consist of nine (9) members, in good standing, who shall normally ser= ve for three (3) years. The desi= gnated number of candidates necessary to fill vacancies on the Board receiving the= highest number of votes shall be declared elected for a three (3) year term. The Board of Directors, at their O= ctober meeting, shall nominate twice the number of candidates required to fill the vacancies on the Board caused by expiration of term, by resignation, or by death. The names of those nom= inated shall be posted on the Club bulletin board at least four (4) weeks prior to= the date of the annual meeting. F= ive (5) or more members, in good standing, who are not members of the Board may also nominate members, in good standing, as candidates to fill vacancies on= the Board caused by expiration of term, or by resignation, or by death. Such nominations shall be in writi= ng and shall be delivered to the Club Secretary at least twenty (20) days prior to= the date of the annual meeting. T= he Club Secretary shall immediately post the names of such nominees to the original list and must show the nominating members. (Amended 1/2001)
SECTION 8. MAJORITY VOTE
In all meetings of the membership the determination = upon any election or action shall be governed by the majority vote of the reside= nt members, a quorum being present. Each membership shall have the right of one vote on each election or question. No proxy voting sha= ll be allowed.

ARTICLE VII – ORGANIZATION
SECTION 1. MANAGEMENT
The Board of Directors, consisting of nine (9) persons, shall have entire management of the business and affairs of the Club, and full charge of the grounds, houses, implements= and all property, and the control and disposition of funds, (with exception of Paragraph (A) below), but at no time shall the Board incur indebtedness on = the part of the Club in excess of money in the hands of the Treasurer, and the debts, dues and obligations in process of collection from the membership, l= ess the amount of unexpected appropriations, unless said indebtedness be author= ized by the Club at the annual meeting or at a special meeting called for that purpose.
(= A) = That the Ladies Association of the Idabel Country C= lub shall be in charge of the tournaments listed below, and that the profits and disposition of the funds from these tournaments shall be administered by the Ladies Association for the use and betterment of the Club with the approval= of the Board of Directors:

(= iii) = Couples’ Scramble
(= iv) = Senior’s Tournament
SECTION 2. POWERS AND DUTIE=
S OF
MANAGEMENT
&n= bsp; The Board of Directors, or its duly appointed committees and sub-committees, sh= all have the power and duty to:
(A) Admit applicants to membership and to suspend or expel members in conformity with= the By-Laws;
(B) Make = and amend rules for the admission of guests and visitors;
(C) Make = and amend rules for the use of the Club by its members and for the conduct everywhere on the Club premises;
(= D) Fix a= nd impose penalties for the violation of the By-Laws and any of the Rules and Regulations;
(E) Engage and/or dismiss all employees of the Club and to fix and provide for the pay= ment of all necessary salaries and wages;
(F) Expend such funds and to create indebtedness in the name of the Club for the purpo= se of carrying out the objects and purposes thereof;
(= G) Recom= mend definite modifications, alterations or amendments to the By-Laws of the Club. The By-Laws may only be changed by a majority vote of the members, a quorum present, at the annual meeting, or at an adjourned sessions thereof, or at a special called meeting for that purpose, provided that due notice of any proposed modification, alteration or amendment shall be given to all resident members, giving the substance of such modification, alteration or amendment.
SECTION 3. TERM OF OFFICE
&n= bsp; Each member of the Board of Directors shall be elected to a three (3) year term = of office. As many Board members= as necessary will be elected each year to keep the Board membership at nine (9) members. A Board member must,= at the time of election, be a full resident member, in good standing, of the C= lub. (Amended 1/2001.)
SECTION 4. VACANCIES
&n= bsp; The Board of Directors shall have the power to fill any vacancy occurring on sa= id Board for any cause other than the expiration of their term. Such persons appointed to fill such vacancies shall serve only until the next annual meeting.
SECTION 5. REMOVAL FROM OFF=
ICE
&n= bsp; An officer of the Club may be removed from office for a just cause by the majo= rity vote of the Board of Directors. Should any officer be absent from three (3) consecutive monthly meet= ings of Board of Directors without a valid cause, in the opinion of the Board, h= is office may be declared vacated on the vote of the majority of the members of the Board.
SECTION 6. OFFICERS
&n= bsp; At the first meeting of the Board after the annual meeting, which may be immediately following the close of the annual meeting, the Board shall proc= eed to organize by electing officers for the ensuing year. The officers shall be as follows:<= span style=3D'mso-spacerun:yes'> President, Vice-President and Secretary-Treasurer, each to serve one (1) year. The President and Vice-President m= ust be chosen from the Board members. The Secretary-Treasurer may be chosen from the general membership.
SECTION 7. DUTIES OF THE
PRESIDENT AND VICE-PRESIDENT
&n= bsp; The President, and in his absence the Vice-President, shall preside at all meet= ings of the Club and at all meetings of the Board. The President has the power to app= oint such committees as may be necessary to effectively operate the Club. All committees shall operate under= the direction of the Board. A sec= ret membership committee shall be appointed by the President to investigate new applicants for membership. Th= is committee shall be answerable only to the President.
SECTION 8. DUTIES OF THE
SECRETARY-TREASURER
&n= bsp; The Secretary shall keep a true record of all meetings of the Club and of the meetings of the Board, collect all funds and pay them over to the Treasurer= and perform all such duties usually performed by secretaries of such organizations. The Treasurer = shall keep safely all the funds of the Club and pay them out as provided by the By-Laws. At each annual meeti= ng he shall render a full and complete statement of the finances of the Club for = the year, and shall render other statements from time to time as shall be reque= sted of him by the Board.
ARTICLE VIII – COMMITTEES
SECTION 1. APPOINTMENT
&n= bsp; The President, at the first meeting of the Board held after the annual meeting shall appoint the following standing committees to serve for the ensuing year. The chairman of all sta= nding committees shall be members of the Board.
= (A) Execu= tive and Finance Committee
= (B) Clubh= ouse and Buildings Committee
= (C) Golf Course, Grounds and Greens Committee
= (D) Socia= l and entertainment Committee
= (E) Tennis and Swimming Affairs Committee
= (F) Tournaments Committee
= (G) Membe= rship Committee
= (H) Griev= ance Committee
Each of the said committees shall consist of at least three (3) members.
SECTION 2. EX-OFFICIO MEMBE=

&n= bsp; The President shall be an Ex-Officio member of each of the said committees and shall chair the Finance and Grievance Committees.
SECTION 3. OTHER COMMITTEES=
&n= bsp; The Board of Directors shall have power from time to time to appoint such other committees as it may deem expedient, and to delegate to such committees such duties and powers as may be necessary for the proper conduct of the affairs= of the Club, and the Board may appoint to such committees any member of the Cl= ub.
SECTION 4. COMMITTEE MEMBER,
REMOVAL OF
&n= bsp; The President shall have the power to remove any member of any committee at any time.
ARTICLE IX – POWERS AND DUTI=
ES OF
COMMITTEES
SECTION 1. EXECUTIVE AND FI=
NANCE
COMMITTEE
&n= bsp; This committee shall be authorized to perform those administrative supervisory functions necessary to the orderly management of the Club and its activities. They can and shou= ld require the Club Manager, the Club Professional and all committee chairmen = to submit detailed estimates and statements on any and all phases of operation, maintenance or investment. Th= ey are to so govern and control expenditures as to adequately operate and maintain= the facilities of the Club to and for the benefit of the members. They shall attend to the placing o= f all insurance and to the payment of taxes upon the properties of the Club. They shall, in ample time before t= he annual meeting, select a qualified public accountant who shall audit the bo= oks of the Club, and submit audits and reports at the annual meeting. This committee shall also be requi= red to enforce the necessary police protections against invaders upon the Club property.
SECTION 2. CLUBHOUSE AND BU=
ILDING
COMMITTEE
&n= bsp; This committee shall be charged with the promulgation and enforcement of the Hou= se Rules of the Club and shall supervise and control all matters pertaining to= the service and comfort of the members within the Clubhouse. It will make such recommendations = for the maintenance and operation of the Club building and appendages and of the purchase and use of supplies for the various servicing departments as in its opinion will best provide adequate and economical service.
SECTION 3. GREENS, GROUNDS =
AND
GOLF COURSE COMMITTEE
&n= bsp; This committee shall have full charge and control of the golf course grounds, ro= adways, walks, greens, lakes and buildings pertaining to the upkeep, usage and operation of the aforementioned areas.&nbs= p; This further includes the golf cart houses. It shall employ and have charge of= all employees working on the golf course, etc., related thereto, and shall recommend to the Board the wages and salaries of such employees. It shall enforce the ground rules = of the Club, purchase tools, supplies, equipment and such other items pertaining to its activities. SECTION 10. EXPENSES
All expenses incurred in the departments of the vari= ous committees shall be audited, checked and approved by the Chairman of said committee under whom such expense is incurred before being paid by the Treasurer. Any major expendit= ure by any committee must have prior approval by the Board before being paid by the Treasurer. Any member so fin= ed, suspended or expelled shall have the right at any time within two weeks aft= er receiving official notice, to require the Secretary to call a special meeti= ng of the Club to reconsider the matter, providing such member shall pay the actu= al cost incurred in calling such a meeting.&n= bsp; Due notice shall then be given to each resident member. At such meeting, a majority vote s= hall decide whether the action of the Board shall remain or be set aside.

&n= bsp; The fiscal year for the Idabel Country Club begins in January and ends in Decem= ber.
ARTICLE XI – AMENDMENTS
&n= bsp; The By-Laws of the Idabel Country Club may be modified, altered or amended only= by a majority vote of the members, a quorum present, attending the annual meet= ing, or at an adjourned session thereof, or at a special meeting called for that purpose; provided that due notice of any proposed change shall be given to = all resident members, giving the substance of such change.

&n= bsp; The Idabel Country Club exists for the use and enjoyment of its members, their immediate family and guests. = The Club members and their immediate families shall be entitled to the use of t= he Clubhouse with all its rights and privileges and in the exercise of the privileges all are expected to conduct and to attire themselves as ladies a= nd gentlemen and to conform to all By-Laws and any other rules or regulations = as may be adopted by the Board of Directors.
&n= bsp; To aid in the comfortable enjoyment of the facilities and in the interest of o= rder of procedure and efficient operation, a minimum number of supplementary rul= es are set out below for the information of and observance by all concerned.
&n= bsp; Members shall not reprimand any employee. All complaints should be made to the House Committee or to the Club Manager.
HOUSE RULES
= (1) Unless circumstances prevent, the Clubhouse will be kept open for the use and pleasures of its members and guests every day except Monday. The Clubhouse and swimming pool wi= ll be closed on Mondays.

= (3) All food and beverages served or consumed on the premises must be obtained from= the Club at the published prices. Exceptions may be made in case of large functions by special arrangements made in advance with the Club Manager and approved by the House Committee.
= (4) No property of the Club shall be removed from the premises. All Club property lost, damaged or broken, except under conditions of normal wear and tear, shall be promptly = paid for or replaced by the persons responsible.
= (5) The playing of games of all kinds or engaging in certain other activities shall= be regulated by the House Committee which is specifically empowered to stop or prohibit or modify same when such is considered to be inappropriate or prejudicial to the best interests of the Club.
= (6) The offering of merchandise for sale, soliciting of business or canvassing for funds is not permitted. No advertisements, posters or circulars shall be displayed or offered.
= (7) Private parties, hosted by members, are encourage; however, the Clubhouse facilitie= s in their entirety may not be reserved exclusively, since they are intended primarily for the use and benefit of the general membership. Arrangements for private parties w= ill be made with the Club Manager and shall be in accordance with rules governing private parties established by the House Committee.
= (8) All scheduled Club affairs are for Club members and their out-of-county guests.= Resident non-members may not be in= vited on these occasions except as provided in the guest section of the By-Laws (Article IV, Section I).
= (9) In general, the use of the Clubhouse facilities for private parties by outside organizations or by groups composed of persons, the majority of whom are non-members, is not particularly encourage; however, such parties may be arranged for through the Club Manager, but subject to the approval of the H= ouse Committee. The arrangements m= ust be made by a Club member, and that member shall attend the party for its full duration and shall assume the full responsibility for all persons present, = and, while the sponsoring organization or group may make arrangements to settle = its party account, the member shall guarantee and finally be responsible for su= ch account.
(10)= Individuals in bathing suits, without full cover-ups, will not be permitted in the Clubhouse.
GENERAL GUEST RULES
= (1) Any persons known or declared to be a “persona non grata” by the Bo= ard of Directors is denied access to any part of the Club premises. A member who knowingly or willingly contributes to the presence of such a person does so subject to disciplinary actions as the House Committee may impose.
= (2) The privileges of any guest may be withdrawn without notice at the discretion of the House Committee or the President of the Club.

INTRODUCTION TO ATHLETIC RULES
&n= bsp; Any infraction of the rules shall be reported to the respective committees. The report shall be tendered in wr= iting and the person reporting the incident shall sign his name. The report shall then be submitted= to the confidential committee, named by the President, for review. The committee shall, if the infrac= tion warrants, cause a letter to be written to the person or persons reported in= forming them of the nature of the offense and reminding them of the specific regulations involved. The per= son making the report shall remain anonymous unless the incident is of such magnitude that it becomes necessary that the identity of the person be reve= aled.
GOLF COURSE RULES AND REGULATIONS<= o:p>
GENERAL
= (1) The Idabel Country Club Golf Course shall be operated as a Municipal Golf Course and is open to the public on a daily greens fee basis. Full members, in good standing, by paying prescribed dues, are the only patrons exempt of paying daily green fees. All others must pay the posted fees, in advance of playing or practicing. All players must adhere to the fol= lowing rules and regulations. Any violations of said rules may lead to eviction from the premises of the Club= .
= (2) All golf play shall be conducted under the rules of the U.S. Golf Association except as may be modified by the Tournament and Greens Committees of the Id= abel Country Club. These local gro= und rules are listed on the official score card. All members and players are urged = and requested to become familiar with “The Rules of Golf” so that a minimum of misunderstanding may exit among players.
= (3) All tournaments or other special events involving the use of the golf course may first be referred to the Greens Committee and Tournament Committee for their approval.
PRIORITY OF THE COURSE
= (1) In order to accommodate the maximum number of players and a smoother flow of g= olf play, members are requested to play four-ball matches when possible. Four-ball matches have the right-o= f-way at all times. Each member sho= uld make every effort to play four-ball match.
= (2) Between April 1st and Labor Day, at no time are more than five-ball matc= hes permitted on Saturdays , Sundays and holidays, nor after 5:00 p.m. on Monda= ys through Fridays.
= (3) After Labor Day through March 31, players may play in any size group so long as t= hey are considerate of all other players.
= (4) It has been observed that two-ball and three-ball matches can cause as much congestion as five-ball matches. Members are requested to attempt to regulate play in such a manner t= hat these matches are kept to a minimum. A single player has no standing and should give way to a match of any kind.
= (5) Youths under 14 years of age shall not play after 5:00 p.m. on weekdays nor after = 1:00 p.m. on Saturdays, Sundays or holidays between April 1st through Labor Day except when playing with their parent.
= (6) Slow players must allow faster players to play through. Bear in mind that no group may hol= d up a faster group during any time of the year.
= (7) Starting holes shall be 1, 4 and 8. Ma= ke sure that players behind you are at least 2 shots away before cutting in to start on numbers 4 and 8.
= (8) Players having finished the front nine shall have precedence on #10 tee over players starting on #1 tee.
= (9) When a player has any doubt regarding his shot going out of bounds, he should pl= ay a provisional shot so he won’t have to come back to hit it over.
(10)= Special Golf Events: When as many as 50 persons are pla= ying in a special scheduled golf event, the Greens Committee may close the cours= e to all other players.
EXCEPTIONS TO THE ABOVE REGULATIONS:
= (A) Thurs= day morning is Ladies’ Day. Ladies may play in twosomes, threesomes foursomes or gangsomes, if t= hey so desire.
= (B) Somet= imes during a scheduled golf event, it may become necessary to play a larger gro= up to balance some flights or to play off a sudden death.
GOOD HOUSEKEEPING ON THE GOLF COURSE
= (1) Under no circumstances shall a ball be played from the putting green. If a ball lies on a green, or its approaches, or on a tee of a hole other than the one being played, it must = be lifted and placed without a penalty to one side of the area, not nearer the hole being played.
= (2) A player or caddy shall not place a golf bag or cart or any heavy object on t= he surface of a putting green. T= his applies to a cart of any description.
= (3) All divots should be promptly and carefully replaced.
= (4) Ball marks on the greens should be repaired by loosening the soil area around the pit mark with a golf tee and pressing the soil gently into a smooth conditi= on with the thumb.
= (5) Players are requested to utilize litter baskets dispersed over the course. Containers of any kind must not be thrown on the course. Pick up= any littler you see.
= (6) Players should pick up all small or large limbs that they observe in the fairways a= nd toss them into the rough. The= se limbs are tough on mowers.
= (7) Club-throwing shows poor sportsmanship and is dangerous to fellow players and may be injurious to the golf course. Please refrain form this immature practice.
PRACTICING
&n= bsp; Members, when practicing or receiving instructions, must at all times use the practi= ce area which is located behind the tennis courts. No practice shots are permitted fr= om the regular tees, greens or fairways on the golf course. Please make every effort to see th= at all players comply with this rule.
MODE OF DRESS
= (1) Golfers shall at all times wear suitable clothing, including shirts, while using the golf course.
= (2) Lady golfers are requested not to wear high heels on the golf course.
= (3) Swim suits are not permitted on the golf course.
= (4) Football and baseball shoes are strictly prohibited for use on the golf course.
GOLF CARTS
&n= bsp; GENERAL: Golf carts have definitely become a necessary part of a golf course. They provide comfort and ease for the golfer. They speed up the game thus allowi= ng more people to enjoy the game. Golf carts can be dangerous both to the occupant as well as other players. Drive them with care.
&n= bsp; PRIVATE CARTS: Members of this Club m= ay own and maintain their own golf cart at this time.
&n= bsp; STORAGE AND ELECTRICITY: All storage = houses are the property of the Idabel Country Club and shall be maintained by the Club.
&n= bsp; RENTING OF STORAGE HOUSES: Only full members, in good standing, may rent a storage house by paying the prescribed fee. This fee payment covers storage and electricity. All the member furnishes is the ca= rt, the charger and a padlock and two keys (one key to go to the manager, to be used in case of emergency).
= (A) Golf = carts may not be driven by any person not possessing a lawful driver’s lice= nse.
= (B) Golf = carts are not to be driven on this golf course as a pastime. The carts are to be used for golfi= ng purposes only.
= (C) When,= in the opinion of the golf course Superintendent or the Greens Committee, the = use of golf cats will injure the course, said use shall be expressly forbidden.=
= (D) At no= time shall these vehicles be driven onto the greens approach, on the tees or on = the greens. Keep carts at least 50 yards from the greens or on the cart paths.
= (E) The use of all golf carts in tournament play shall be under the supervision of = the Greens and Tournament Committees.
= (F) The Club will not assume any property damage or public liability which may resu= lt from the use of golf carts.
CART SHED RENTAL POLICY
All cart sheds, being the property of the Idabel Cou= ntry Club, shall be assigned according to the following policies set forth by the Idabel Country Club Board of Directors:
= (1) If a waiting list exists, cart sheds will be assigned to members in the order th= ey appear on the waiting list, as sheds become available.
= (2) A member has a period of 30 days to occupy a golf cart shed with an operable = golf cart after being given notice that a shed is available for said member to r= ent.
= (3) If a member terminates his golf cart shed rental, that golf cart shed will immediately revert to the club for re-assignment.
= (4) Non-resident members are not eligible to rent a golf cart shed. However, in the event a surplus of= empty sheds exists, a non-resident member may be allowed to rent a shed on a temporary basis.
= (5) Cart sheds may be rented by resident members only, except as provided in Paragra= ph 4 above.
= (6) Cart shed may not be subleased from one member to another. Leasing of sheds is direct from Cl= ub to member only.
